General Conditions of the Contest “Live Class – Del Fuerte®”

GENERAL CONDITIONS OF THE CONTESTThis contest is presented by Kiwilimón, S.A.P.I. de C.V. (“Kiwilimón®”) and Alimentos del Fuerte S.A. de C.V. (Del Fuerte®)1.- Conditions to participate: All users residing in the United Mexican States (Mexico) may participate. IMPORTANT: If you are selected and live outside Mexico City and/or the Metropolitan Area, travel expenses will be covered by Kiwilimón®.Contest Features:The user must upload a photograph to the comments of the live class or in the related posts on Facebook showing the result of preparing one of the recipes presented in the class.The photograph must show the dish in the presentation that the user prefers, although the most similar one will be the winner.Those who upload their photograph from October 16 to October 23, 2019. will participate.The winning photographs will be selected by Del Fuerte®.2.- Editorial Principles: Through this contest, Kiwilimón® seeks to promote:Honesty: The photograph you share must be your own.Respect and camaraderie: Kiwilimón® through this and all its contests seeks to communicate users with each other, as well as with the page administrators, in the quest for a space that connects the ideas and creativity of users, so we would appreciate it if you avoid giving negative comments to other people competing.Therefore, to safeguard these principles, Kiwilimón® reserves the right to disqualify from the contest any user who exhibits behaviors contrary to the principles indicated in subsections a) and b) of this point, at its sole discretion and without prior notice. Likewise, Kiwilimón® reserves the right to disqualify from the contest all participants who alter or attempt to alter or manipulate the contest.3.- Contest Mechanics: To participate in this contest:Consult the live Class broadcasted on October 16, 2019, at 7:00 PM through the social network Facebook® on the Kiwilimón® account.Prepare one of the recipes shown in the class and take a photograph of it.Upload your photograph from October 16 to October 23, 2019 to the comments of the live class video, in the posts published through Kiwilimón®'s social network on Facebook®, or on Instagram mentioning @kiwilimon and @delfuertemx.The winners will be announced on October 28, 2019 in a post on the Kiwilimón® account on the social network Facebook®.4.- Selection Criteria: The finalists will be chosen by the Del Fuerte® team, based on the following criteria:Clarity of the photograph (the image must have the necessary resolution to be appreciated by other participants)Clarity of the content (it must be distinguishable that it is the recipe or recipes from the live class)Final presentation of the recipe (it should be similar to that shown in the live class)Consistency with the content requested in the class.Only photographs uploaded to the social network Facebook® will be taken into account.5.- Validity*:You can participate until October 23, 2019.The winners will be announced on October 28 of the same year through a post on the Kiwilimón® account on the social network Facebook®. The user(s) participating in this contest expressly acknowledges that the photograph with which they compete has not been taken from another source and/or altered, but is original, thus recognizing and guaranteeing that it does not violate any third-party intellectual property rights; likewise, they undertake to keep Kiwilimón®, the Del Fuerte® brand; or any of its affiliates harmless from any claim, demand, or legal action by any authority or third party that may arise, as well as to indemnify it for any expenses incurred by Kiwilimón®, the Del Fuerte® brand; or any of its affiliates, as well as anyone representing its rights in case of any dispute. Likewise, it is understood that by participating in this contest: (i) the user expressly and irrevocably grants Kiwilimón® all the economic rights derived from the photographs that users send to Kiwilimón® to participate, not reserving any rights. For such purposes, “economic rights” are understood to be those indicated in articles 24 to 29 and other related and applicable provisions of the Federal Copyright Law; and (ii) the user expressly authorizes Kiwilimón® to reproduce the photograph(s) with which they participate, even if such photographs include images of their person or persons participating in this contest, understood as “moral rights” under articles 18 to 23 and other related and applicable provisions of the Federal Copyright Law, not reserving any rights. As a result, Kiwilimón® will be empowered to exploit any of the photographs that the user shares to participate in the contest, including but not limited to: dissemination, distribution, publication, production, transmission, printing, recording, editing, exhibition, modification, instrumentation, public communication, distribution to the public (with or without advertising purposes), translation, reproduction, adaptation, compilation, paraphrasing, arrangement, or any other form of exploitation permitted by the Federal Copyright Law and articles 16, 21, 24, 30, 31, 83 bis and other related and applicable provisions of the same legislation, as well as the legislation in the matter. Such exploitation may be carried out in the United Mexican States or abroad.As a result, Kiwilimón® will be the sole holder of the economic rights derived from the photographs; consequently, Kiwilimón® may in turn assign, license, encumber, or alienate these rights in any form, whether total or partial when it deems appropriate, without the signatory having any right to subsequent payment.
