General Conditions of the Lala® Plenia® ContestKIWILIMÓN®GENERAL CONDITIONS OF THE CONTESTThis contest is presented by Kiwilimón, S.A.P.I. de C.V. (“Kiwilimón®”) and Lala® Plenia®1. Conditions to participate: All users residing in the United Mexican States (Mexico), who are of legal age (18 years) may participate. Contest Features: The user must enter the website: www.kiwilimon.com to read the terms and conditions of the contest.The user must upload an original photograph using Lala® Plenia® products and mentioning the Lala® Plenia® product used in the comments of the post published on Facebook related to the dynamics.The photograph must show a dish prepared with Lala® Plenia® products and mention the product used.Those who upload their photograph within the dates from August 17 to 31, 2020.The winning photographs will be selected by Kiwilimón® and Lala® Plenia®.2. Editorial Principles: Through this contest, Kiwilimón® seeks to promote: a) Honesty: The photograph you share must be your own. b) Respect and camaraderie: Kiwilimón® through this and all its contests seeks to communicate among users as well as with the page administrators, in search of a space that connects users' ideas and creativity, so we appreciate your avoiding negative comments towards other competing individuals. For this reason, to safeguard these principles, Kiwilimón® reserves the right to disqualify any user from the contest who displays behaviors contrary to the principles stated in points a) and b) at its sole discretion and without prior notice. Likewise, Kiwilimón® reserves the right to disqualify from the contest all participants who alter or attempt to alter or manipulate the contest. 3. Contest Mechanics: To participate in this contest: Check the post related to the Lala® Plenia® dynamics on August 17 via the social network Facebook®. You must also follow the publications made through Instagram stories, which will be published on specific days in August and September, prior to the end of the dynamics.Prepare one of the original recipes that include Lala® Plenia® ingredients and take a photograph of the final dish. Follow @lalaplenia on Facebook and Instagram.Upload your photograph from August 17 to 31, 2020 in the comments of the dynamic published through Kiwilimón's social network on Facebook, which will take place at 14:30. Use Lala® Plenia® products, mention in the post the Lala® Plenia® product you used and follow @lalaplenia on IG and FB.The winners will be announced on September 5, 2020.4. Selection Criteria: The finalists will be chosen by the Kiwilimón® and Lala® Plenia® team, based on the following criteria: Clarity of the photograph (the image must have the necessary resolution to be appreciated by other participants).Clarity of the content (it must be clear that these are authentic photos including Lala® Plenia® products that appear in the live class on August 13, 2020).Final presentation of the recipe (it must be original and one of the ingredients must be @lalaplenia).Compliance with the contest rules.Only photographs uploaded on the social network Facebook® will be considered.5. Validity: You may participate from August 17 to 31, 2020.The winner will be announced on September 4, 2020 through a post on Kiwilimón®'s account on the Facebook® social network and in the IG stories. Kiwilimón® will contact the winner through this same social network and via the email concursos@kiwilimon.com, the prizes will be sent within 1 to 2 weeks after announcing the winner.*The contest validity may be extended at Kiwilimón®'s discretion. 6. Winner's Prize: 1 winner will be chosen to receive: 1 Screen, an annual Netflix subscription, Lala® Plenia® products, and the publication of their recipe on Kiwilimón. Personal data and address of each winner will be requested via email at concursos@kiwilimon.com for shipping via courier within 10 to 20 working days. Currently, this contest is only for residents in Mexico. We appreciate your understanding if you reside abroad, but we invite you to closely follow all Kiwilimón® contests. 7. Exclusions of Liability: Kiwilimón® is not responsible for failures or errors that occur at any stage of this contest due to fortuitous event or force majeure, including any failures in the system and/or social network used that are not attributable or foreseeable. Kiwilimón®, its affiliates, subsidiaries, partner companies, and licensors will not be responsible for damages or losses that winning users or third parties may suffer due to or in connection with participation in this contest and/or the use of the prizes in compliance with the requirements of these terms and conditions, declining any type of contractual and/or extracontractual liability towards the winners, which is unconditionally accepted by each participant. The winning user will be solely responsible for the use of the prize and its consequences. Likewise, Kiwilimón® reserves the right to carry out advertising, press, promotion, publication, and dissemination actions that they deem appropriate regarding users who are winners or not of their personal data and their image and/or voices, as well as any notification related to these terms and conditions, in order to provide the greatest transparency in this contest. Kiwilimón® under individual title and/or through its subcontracted agencies reserves the right to disqualify any person who jeopardizes the integrity and proper development of this Promotion, such as in the case of hackers (a term used to refer to individuals with extensive knowledge in computing and telecommunications who are employed for personal profit, which can be malicious or illegal) or promotion hunters (defined as any participant who acts alone or jointly with economic, material, or informational resources unfairly against other participants to gain the benefit of the promotion regardless of whether the mechanisms used are unethical, immoral, or even illegal, such as creating false profiles on social networks to generate votes in favor of the same user). It is also strictly prohibited to use any software, script, or other process (such as robots or bots) that automates, attempts to automate, or in any way replaces a human action. In this case, those who breach this rule will be disqualified without responsibility for the organizers, waiving from this moment any type of legal or ordinary action against Kiwilimón® and/or its affiliates, subsidiaries, controlling companies, as well as related parties. If the corresponding area of Kiwilimón® determines that the participant is violating this condition, all points and progress will be declared null and the participant will be automatically disqualified. Kiwilimón® reserves the right to initiate legal action; this action may be considered a federal crime for purposes of cyber law. If Kiwilimón® detects any anomaly within the dynamics specified in this document, it reserves the right to declare the responsible party as 'disqualified'. 8. Modifications and/or Annexes: Kiwilimón® reserves the right to make modifications or add successive annexes regarding its mechanics and benefits of the contest, as long as these are justified or do not harm participants and are duly communicated to them after notification to the competent authority. 9. The user(s) participating in this contest expressly acknowledges that the photograph with which they are competing has not been taken from another source and/or altered, but is original, therefore, they acknowledge and guarantee that it does not violate any third-party intellectual property rights; likewise, they undertake to keep Kiwilimón® and Lala® Plenia® harmless from any claim, demand, or legal action from a third party that may arise, as well as indemnify Kiwilimón® and Lala® Plenia® for any expenses incurred by them in the event of any controversy. Likewise, it is understood that by participating in this contest: (i) the user expressly and irrevocably cedes free of charge to Kiwilimón and Lala® Plenia® all moral rights derived from the photographs that users send to Kiwilimón® to participate, reserving no rights for the user. For these purposes, moral rights are understood as those set forth in articles 24 to 29 and other relevant and applicable provisions of the Federal Copyright Law; and (ii) the user expressly authorizes Kiwilimón® and Lala® Plenia® to reproduce the photograph(s) with which they participate, even if such photographs include images of themselves or persons participating in this contest, such images being understood as moral rights in terms of articles 18 to 23 and other relevant and applicable provisions of the Federal Copyright Law, with no rights reserved by the user. By virtue of the foregoing, Kiwilimón® and Lala® Plenia® will be entitled to exploit any of the photographs that the user shares to participate in the contest, including but not limited to: dissemination, publication, production, transmission, printing, recording, editing, exhibition, modification, instrumentation, public communication, distribution to the public (with or without advertising purposes), translation, reproduction, adaptation, compilation, paraphrasing, arrangement, or any other form of exploitation permitted by the Federal Copyright Law and the articles 16, 21, 24, 30, 31, 83 bis and other relevant and applicable provisions of the same legislation, as well as the legislation in the matter. This exploitation may be carried out in the United Mexican States or abroad. In view of the above, Kiwilimón® and Lala® Plenia® will hold the copyright ownership derived from the photographs; as a consequence, Kiwilimón® and Lala® Plenia® may also assign, license, encumber, or alienate these rights in any form, either in whole or in part, when they deem appropriate, without the undersigned having any right to subsequent payment.
